Ambar Memories Inc., a Delaware corporation, and its affiliates (collectively, “Ambar Memories,” “we,” “our,” or “us”) respects your privacy and is committed to protecting it through our compliance with this policy.

This Privacy Policy describes how we collect, use, disclose, and protect personal and other information when you interact with any part of the Ambar Memories platform, including (as such platforms may be updated from time to time, collectively, the “Platforms” or the “Services”): (i) our website (ambarmemories.com); (ii) the iOS App, the iOS App Clip, the Web Apps (including Android-compatible Web Players), and the Ambar Memories Player Android App (collectively, the “Ambar Memories Player”); (v) the Ambar Memories Composer (our web-based content creation and management tool for event organizers); (vi) any digital experiences accessed through NFC cards and other tags linked to one or more of our Platforms (the “Tokens”); and (vii) any other online services, mobile applications, tools, or features that are provided by Ambar Memories, its subsidiaries or affiliates and link or refer to this Privacy Policy.

This Privacy Policy also applies to personal information we collect offline, including through customer support interactions or communications with Ambar Memories relating to your use of the Services.

Ambar Memories is a technology company that creates augmented memorabilia experiences by linking physical keepsakes to immersive, multimedia digital content. Please refer to our Terms of Service for more detailed information in this regard.

This Privacy Policy covers data, data collection and processing where Ambar Memories acts as the controller of data as described by the European Union’s General Data Protection Regulation (“GDPR”), the California Consumer Protection Act (“CCPA”) or any other data protection law (known collectively with GDPR and CCPA as “Data Protection Laws”).

This Privacy Policy is directed to anyone using the Services (each, a “Customer”), and applies to: (i) users who access memories and digital experiences using the Ambar Memories Player; (ii) users who upload photos, videos, or other content through one or more of our Platforms; (iii) individuals who create accounts on Ambar Memories Platforms; (iv) event organizers and their authorized personnel who use the Ambar Memories Composer to upload, manage, or publish content; (v) visitors to our website; (vi) representatives of businesses that engage with Ambar Memories; and (vii) any individual whose personal information is processed by Ambar in connection with the Services.

This Privacy Policy does not apply to third-party services, websites, or applications that may be linked to or integrated with the Services, including content hosted or controlled by users of the Ambar Memories Composer. We are not responsible for the privacy practices of such third parties. By accessing or using any of the Services, you acknowledge that you have read and understood this Privacy Policy. If you do not agree with this Privacy Policy, you must not use the Services.

If you are an event organizer, business customer, or representative of an organization that uses the Ambar Memories Composer or accesses our Services under a subscription or service agreement, our processing of the personal information you provide to us may also be governed by the terms of such agreement. In the event of a conflict between this Privacy Policy and that agreement, the terms of that agreement will govern to the extent permitted by applicable law.

1. Data Ownership

Your data belongs to you. You are not transferring the ownership of data about you or your clients by storing it any of our Platforms.

2. Information We Collect

We collect information from and about you in a variety of ways when you use the Services. The specific information we collect depends on how you interact with our Platforms, the device you use, and the choices you make:

(i) Information Provided Directly by You.

(a) Account Information: When you create an account, we may collect your name, email address, password or authorization credentials, country or region, organization, role, and account preferences.

(b) User-Generated Content. When you upload photos, images, videos, text or other media to any of our Platforms, we collect: (i) photos, images, or videos you upload; (ii) associated metadata (e.g., upload date, device type); (iii) content linked to a specific Token, and (iv) any captions, text, tags, notes or other content you attach or upload. This content may contain sensitive personal information, depending on what you choose to upload. We do not access your device’s photo library, camera, microphone or files unless you grant permission on your device.

(c) Users of the Ambar Memories Composer: When users of the Ambar Memories Composer upload content through such platform, we may collect: (i) photos, videos, graphics and other media, (ii) metadata about the uploaded content; (iii) event information, (iv) publication schedules and configuration settings; and (v) any other information uploaded by such users.

(d) Payment Information. If you purchase our Services, we may collect your billing name, billing address, payment card details, and related information. At any time, payment processing may be handled by third-party providers.

(ii) Information We Collect Automatically: When you access or use the Services, we automatically collect certain information about your device and usage.

(a) Device and Technical Information; Depending on the Platform you access, we may collect: (i) your device type, model, and operating system; (ii) your browser type and settings; (iii) your IP address and approximate location; (iv) your app version and system activity; (v) your crash logs and diagnostics; (vi) your language and region settings; and (vii) your network connectivity

(b) Usage Information: We collect information about how you use the Services, including: (i) the pages or screens you view; (ii) the features you access (e.g., media viewer, gallery uploads); (iii) your interactions with Tokens; (iv) your time spent on features; and (v) any other actions within the Ambar Memories Composer. This may include records indicating when a memory or experience is accessed, which Token identifier was used, and, if the user is logged into an account, the associated user account.

(iii) Information Collected Through Tokens. When you tap, scan, or otherwise access a Token, we may collect and process: (i) the token identifier and/or serial number; (ii) associated events or memory collection; (iii) timestamps of access; (iv) device used to access content; and (v) account or accounts associated with the access to the Token. We do not store personal information on physical chips or printed codes. This may include records indicating when a memory or experience is accessed, which Token identifier was used, and, if the user is logged into an account, the associated user account.

(iv) Cookies and Similar Technologies.

(a) Website. On our website, we use limited cookies and similar technologies that are strictly necessary to operate the website and to understand aggregated usage patterns. These include (i) first-party functional and preference cookies and (ii) analytics tools used solely to measure website performance and usage trends. We do not use cookies for targeted advertising or cross-site behavioral tracking.

(b) Web Player; Composer. If you access any of these Platforms, we may use first-party session cookies, functional cookies (to maintain login and tool settings). We do not use third-party tracking cookies.

(c) Mobile Apps and App Clips. Mobile apps may use device identifiers, analytic SDKs, crash logging tools and push notifications, if enabled. You may control cookies and device permissions through your browser or device settings.

(v) Information We Receive from Third Parties. Users and Customers may provide us with information in connection of third parties. We may also receive information from cloud hosting providers, analytics partners, identity verification tools, customer support platforms, social media or integrations. If you choose to interact with social media features (e.g., sharing), we may receive limited information depending on your permissions and the applicable platform policies.

3. How We Use Information

We use the information we collect for purposes including:

(i) To Provide and Operate the Services. We use your information to operate, maintain, and make available all components of our Platforms, including enabling you to view multimedia experiences linked to Tokens; allowing you to upload, store, and access your own photos, videos, and other content; supporting optional account creation and authentication; ensuring the functionality of the Ambar Memories Player across iOS, App Clip, Web App, and Android-compatible environments; and providing access to and functionality within the Ambar Memories Composer for users who upload and publish content. This includes (i) managing session data and user preferences, (ii) ensuring compatibility across devices and browsers, and (iii) providing the basic features you expect from the Services.

(ii) To Improve, Personalize, and Develop the Services. We use information to understand how you interact with the Services, identify areas for improvement, and enhance overall performance and reliability. This includes (i) analyzing usage patterns across different platforms and devices, (ii) optimizing media loading, rendering, and playback, (iii) diagnosing and resolving technical issues, crashes, or performance bottlenecks, and (iv) personalizing certain features or experiences based on your interactions or preferences. We may also use aggregated or de-identified data to inform our product roadmap and the development of new features.

(iii) To Store, Process, and Display User-Generated Content. For end users of the Platforms, we use the information you provide to store and display the photos, videos, text, and other media you upload, including linking such content to your personal memory timeline or to specific Tokens. This includes (i) enabling you to access your content across compatible devices, (ii) preserving your privacy settings, (iii) processing content solely to provide the Services, improve media quality, or ensure system security, and (iv) supporting your ability to edit, manage, or delete your uploads. We do not access or process your media beyond what is necessary to operate the Services or comply with legal obligations. This may include automated processing such as resizing, transcoding, compression, or generating thumbnails and alternative formats necessary for display, performance optimization, and compatibility across devices.

(iv) To Support the Ambar Memories Composer. For users of the Ambar Memories Composer, we process information to enable you to upload, organize, manage, and publish multimedia content through the platform’s interface. This includes (i) storing and rendering the media you provide, (ii) managing publication settings, configurations, and distribution logic, (iii) supporting collaborative functionality for teams or additional authorized collaborators, (iv) maintaining system reliability, backups, and safeguards against accidental data loss, and (v) ensuring that content created in the Composer is appropriately displayed to end users of the Platforms. Ambar Memories Composer users are solely responsible for ensuring that they have secured all necessary rights, permissions, and authorizations to the content they upload, and to publish or make such content available to the intended audience through the Services.

(v) To Provide Customer Support and Communicate With You. We use your information to respond to inquiries, troubleshoot technical issues, and support your use of the Services. This includes (i) contacting you with updates about your account or uploads, (ii) sending confirmations, administrative notices, and service-related messages, and (iii) providing guidance or assistance when you contact us. We may also contact you regarding service interruptions or changes that may affect access to your content.

(vi) To Send You Marketing and Promotional Communications. If you choose to receive marketing communications from us, we may use your information to send you product updates, feature announcements, surveys, invitations, or other promotional content related to the Platform. These communications are optional, and you may opt out at any time through your account settings or by using the unsubscribe mechanism included in such communications.

(vii) To Maintain Safety, Security, and Platform Integrity. We use your information to keep the Services safe and secure, including (i) detecting, investigating, and preventing fraud, abuse, unauthorized access, or other harmful activity, (ii) verifying identity where appropriate, (iii) securing uploaded media and associated metadata, (iv) monitoring compliance with our Terms of Service, and (v) analyzing security events, crash reports, and diagnostic data to maintain the stability and integrity of our platform.

(viii) To Comply With Legal Obligations. We may use your information to comply with applicable laws, regulations, and legal processes. This includes (i) responding to lawful requests from law enforcement or regulators, (ii) enforcing our rights or fulfilling contractual obligations, (iii) maintaining legally required records, and (iv) protecting the rights, safety, and security of Ambar Memories, our affiliates, our users, and others.

(ix) To Conduct and Support Business Operations. We may use your information for internal business and operational purposes, including (i) conducting audits, compliance reviews, or regulatory reporting, (ii) analyzing financial and usage trends, (iii) planning and forecasting business growth, and (iv) supporting corporate transactions such as mergers, acquisitions, financings, reorganizations, or asset transfers. When required, we will comply with applicable notice and consent obligations.

(x) For Other Purposes With Your Consent. We may use your information for any additional purpose disclosed to you and for which you provide consent, to the extent permitted under applicable law.

4. Cookies, Identifiers and Similar Technologies.

We and our service providers may use a variety of technologies to recognize your browser or device, learn more about how you interact with the Services, and improve your experience. These technologies may include cookies, local storage, device identifiers, SDKs, and other similar tools depending on which component of the Platform you use. The types of technologies we may use, and the purposes for which we may use them, differ across the public website, the Web Players, and the Ambar Memories Composer.

(i) Cookies on the Public Website. On our public website, we may use cookies to support basic functionality and understand usage patterns. These may include (i) first-party preference cookies that allow the site to remember your settings, such as language or region, and (ii) third-party analytics cookies and similar tracking technologies provided by service providers that help us analyze website traffic, performance, and user engagement. These third-party cookies may collect information such as your IP address, browser type, referring URLs, device settings, and interaction behavior. You may manage or disable these cookies through your browser settings; however, doing so may affect certain features of the website.

(ii) Cookies and Local Storage in the Web App and Android-Compatible Player. The Ambar Memories Player Web App and Android-compatible Player rely primarily on first-party technologies, such as (i) session cookies used to maintain login states or temporary access tokens and (ii) local storage used to retain user interface preferences, device compatibility flags, and other configuration details needed for smooth playback of your memory experiences. These components do not use third-party advertising or cross-site tracking cookies. All locally stored information relates strictly to the operation and performance of the Player.

(iii) Mobile Identifiers and SDKs in the iOS App and App Clip. The Ambar Memories Player iOS App and App Clip use platform-specific identifiers and SDKs to provide essential functionality. These may include (i) device identifiers assigned by Apple to support analytics and performance monitoring, (ii) crash reporting tools that help us diagnose and address unexpected errors, (iii) push notification tokens (if enabled by you), and (iv) local storage or secure storage mechanisms to maintain your session and user preferences. The App Clip, in particular, operates in a restricted environment and collects only the information necessary to launch the memory experience and maintain core functionality. We do not use targeted advertising identifiers or cross-app tracking unless you have explicitly granted permission through your device settings in accordance with platform requirements.

(iv) Cookies and Local Storage in the Ambar Memories Composer. The Ambar Memories Composer uses first-party technologies to support account authentication, content creation workflows, and tool functionality. This includes (i) session cookies needed to keep you logged in while you upload or manage content, (ii) local storage for maintaining application preferences and interface settings, and (iii) functional identifiers used for reliability, performance analytics, and diagnostic purposes. The Composer does not use third-party advertising cookies and does not permit cross-site tracking technologies.

(v) How We Use These Technologies. Across our platforms, these technologies enable us to (i) remember your preferences and settings, (ii) keep you logged in or grant temporary access where appropriate, (iii) securely load and display content linked to your Tokens, (iv) monitor the performance and stability of the Services, (v) detect and fix errors or crashes, (vi) optimize media loading, rendering, and playback, and (vii) understand general usage patterns so we can improve the Services.

(vi) Your Choices and Controls. You may control the use of cookies and similar technologies in several ways. On the public website, you can manage or disable cookies directly through your browser settings; please note that blocking cookies may affect some features or functionality. On mobile devices, you may manage app-specific permissions—such as access to storage, camera roll, notifications, and analytics—through your device settings. For the iOS App, you may also choose whether to allow tracking across apps and websites as required by Apple’s App Tracking Transparency (“ATT”) framework. Because the Ambar Memories Player Web App and Memories Composer rely primarily on essential, first-party technologies, disabling local storage or required cookies may prevent these components from functioning properly.

(vii) Do Not Track. Your browser or device may allow you to enable a “Do Not Track” (“DNT”) signal. Because no uniform standard exists regarding how to respond to such signals, we do not respond to DNT requests at this time. We will continue to monitor developments and update our practices if a standard emerges.

5. How We Share Your Information

(i) Affiliates. We may share your information within Ambar Memories and among our subsidiaries and affiliates as necessary to operate, maintain, and improve the Services. This includes sharing information to (i) support account functionality across multiple platforms, (ii) provide consistent user experiences across regions or legal entities, (iii) enable backend operations such as storage, content delivery, and analytics, and (iv) comply with applicable legal, regulatory, and security obligations. We access and process information only as permitted by this Privacy Policy and any applicable data protection laws.

(ii) Ambar Memories Composer. If you access experiences that were created or published by users of the Ambar Memories Composer, we may share limited information with them when necessary to enable or verify access to their content. Such sharing may include (i) confirming that a particular Token has been activated or viewed, (ii) providing aggregated, de-identified analytics about audience engagement, and (iii) enabling Composer Users to manage their content distribution settings. We do not share your private photos, videos, account credentials, or any personal content you upload unless you expressly grant permission or unless required by law.

(iii) Service Providers and Vendors. We may share information with carefully selected service providers who perform services on our behalf, such as (i) cloud hosting and storage providers, (ii) content delivery networks, (iii) analytics and diagnostics partners, (iv) security and fraud prevention vendors, (v) payment processors (where applicable), (vi) customer support software providers, (vii) email or notification delivery platforms, and (viii) manufacturing and fulfillment partners engaged to produce physical Tokens, who may receive artwork or design files uploaded through the Ambar Memories Composer solely for the purpose of manufacturing such Tokens. These service providers are permitted to process information only for the limited purpose of providing their services to us, and are bound by contractual obligations requiring confidentiality, security, and compliance with applicable law.

(iv) Analytics, Performance, or Integration. We may share anonymized, aggregated, or otherwise de-identified information with third parties that help us measure performance, understand usage trends, or improve platform functionality. This may include (i) aggregated usage metrics for specific features, (ii) high-level engagement statistics related to published Composer content, and (iii) device or performance diagnostics necessary to analyze stability or optimize media rendering. These disclosures do not identify you personally.

(v) Compliance. We may disclose your information if we believe in good faith that such disclosure is necessary to (i) comply with a law, regulation, legal process, or governmental request, (ii) enforce our rights under our Terms of Service or other agreements, (iii) protect the rights, property, or safety of Ambar Memories, its affiliates, our users, or others, (iv) investigate security breaches, fraudulent activity, or misuse of the Services, or (v) respond to emergencies where disclosure is necessary to prevent harm. Where legally permissible, we will notify you before disclosing your information in response to legal requests.

(vi) Business Transfers. We may disclose or transfer information in connection with corporate transactions such as a merger, acquisition, reorganization, divestiture, financing, or sale of all or part of our business or assets. In such cases, (i) your information may be shared with prospective or actual counterparties and their advisors under confidentiality obligations, and (ii) any successor entity will continue to process your information in accordance with this Privacy Policy unless and until it is lawfully amended. Subject to applicable law, you will be notified of any material change in the way your information is processed following such a transaction.

(vii) With Your Consent. We may share your information for any other purpose disclosed to you and for which you provide consent. This may include situations where you explicitly choose to connect your account or content with third-party services, integrations, or social platforms.

6. How We Protect Your Information

(i) Security Measures. We implement a combination of technical, administrative, and physical safeguards designed to protect your information from unauthorized access, disclosure, alteration, or destruction. These measures include, among other things, (i) encryption of data in transit and at rest where technically feasible, (ii) secure storage of media and account credentials using modern industry standards, (iii) firewalls, access controls, and authentication mechanisms that limit access to authorized personnel, and (iv) regular monitoring for vulnerabilities, misuse, or suspicious activity. While we strive to use commercially reasonable measures to secure your information, no system can be guaranteed to be completely secure, and we cannot ensure or warrant the absolute security of any information transmitted or stored through the Services. Certain media files may not be encrypted (i.e., at rest) due to technical or performance considerations; however, such content is protected through access controls, network security measures, and restricted internal access.

(ii) Protection of Media. For users of the Ambar Memories Player, we apply additional security practices to protect the photos, videos, and other content you upload, including (i) segregating content storage from public-facing systems, (ii) applying strict access restrictions so only you (or your authorized devices) may view your private content, and (iii) performing integrity checks and backups to reduce the risk of accidental loss. For users of the Ambar Memories Composer, we protect uploaded materials using the same safeguards applied to user media, while also ensuring that only authorized team members or collaborators may access workspace content according to your account’s configuration.

(iii) Access Controls and Internal Practices. Access to personal information is restricted to personnel who require such access to perform their duties, including engineering, support, operations, and security teams. We maintain internal policies governing access, confidentiality, and data handling, and we require employees and contractors with access to personal information to comply with these policies and to complete appropriate security and privacy training. We also maintain (i) audit logs, (ii) role-based access controls, and (iii) periodic reviews of permissions to minimize unnecessary or outdated access to your information.

(iv) Platform Reliability and Data Integrity. We take steps to maintain the reliability and integrity of the Services across our Platforms. These steps include (i) maintaining backups and redundant infrastructure to reduce the risk of data loss, (ii) monitoring system performance to ensure availability and stability, and (iii) implementing safeguards against corruption or degradation of uploaded content. We do not guarantee uninterrupted or error-free operation, and outages or data loss may occur for reasons outside our control; however, we strive to maintain a secure and reliable environment using commercially reasonable practices.

(v) Data Breach Response and Notification. We maintain procedures designed to detect, assess, and respond to actual or suspected data breaches. If we determine that personal information has been compromised, we will (i) take appropriate steps to contain and investigate the incident, (ii) notify affected individuals and/or regulatory authorities where required by applicable law, and (iii) implement measures to prevent recurrence. Users of the Ambar Memories Composer who maintain their own content libraries remain responsible for ensuring that their collaborators use secure access practices for their accounts.

(vi) Your Responsibilities. The security of your information also depends on you. You are responsible for (i) maintaining the confidentiality of your account credentials, (ii) restricting access to your devices and browser sessions, (iii) using strong and unique passwords, and (iv) promptly notifying us of any suspected unauthorized access to your account. We are not responsible for the security of information you choose to transmit over networks that we do not control, or for breaches resulting from compromised devices or shared credentials.

7. Data Retention

(i) User Accounts and Profile Information. We retain account information for as long as your account remains active or as necessary to provide the Services. This includes information such as your name, email address, authentication credentials, and settings. If you choose to delete your account, we will take reasonable steps to (i) deactivate or remove your profile information from active systems, (ii) delete or anonymize associated data within a reasonable period, and (iii) retain certain information only as necessary to comply with legal obligations, resolve disputes, enforce our agreements, or maintain business records permitted by law.

(ii) User-Generated Content. Photos, videos, text, and other media that you upload through the Ambar Memories Player are retained for as long as your account remains active or as long as such content is linked to your device or Tokens, depending on whether you use the Services with or without an account. If you delete specific uploads, we will remove or anonymize them from active systems, although (i) residual copies may persist temporarily in backup or archival systems for a limited period, and (ii) metadata or logs relating to file operations may be retained as required for security, audit, or troubleshooting purposes.

(iii) Content Uploaded to Ambar Memories Composer. For users of the Ambar Memories Composer, we retain uploaded content and associated project data for as long as your Composer account remains active or as long as the content remains published or available to end users through the Ambar Memories Player. If a Composer User deletes content or closes an account, we will remove or archive such data in accordance with our internal data retention procedures, subject to (i) applicable legal retention requirements, (ii) contractual obligations with the Composer User, and (iii) reasonable operational needs such as maintaining system backups, ensuring the integrity of published collections, or resolving disputes regarding ownership or usage of the uploaded content.

(iv) Device, Usage, and Technical Data. Device information, analytics data, diagnostic logs, crash reports, and similar technical information are retained for the period necessary to (i) analyze platform performance, (ii) ensure system reliability and security, (iii) develop new features or improvements, and (iv) comply with applicable legal or regulatory requirements. This data is often aggregated or de-identified and may be stored for longer periods in non-personal form.

(v) Legal, Compliance, and Operational Purposes. We may retain certain information beyond the periods described above when necessary to (i) comply with legal, regulatory, or tax obligations, (ii) enforce our agreements, (iii) maintain accurate business and financial records, (iv) resolve disputes or defend legal claims, or (v) protect the rights, property, or safety of Ambar Memories, Customers, users, or others. In such cases, retention is limited to the minimum duration required to fulfill these obligations or purposes.

(vi) Deletion, Anonymization, and Backup Copies. When information is deleted from active systems, it may continue to exist temporarily in backups or archival media for a limited time until those backups are overwritten or otherwise cycled out in accordance with our standard retention schedules. We take steps to ensure that information stored in backup systems is not accessed for any purpose other than disaster recovery, security, or compliance with legal obligations. Once retention periods expire, information is permanently deleted, anonymized, or otherwise processed in accordance with applicable law.

8. Your Rights and Choices

You may have certain rights regarding the personal information we hold about you, including the ability to request access to such information, request corrections to inaccurate or incomplete information, request deletion of certain information, or request that we limit or cease particular uses of your information, to the extent permitted by applicable law.

You may submit a request to exercise your rights by contacting us using the information provided in this Privacy Policy. To protect your information, we may ask you to verify your identity or provide sufficient information for us to locate the data associated with your request.

Your ability to exercise these rights may be subject to limitations imposed by applicable law. We may deny or restrict a request if we are unable to verify your identity, if fulfilling the request would interfere with the rights of others, if the request is excessive or repetitive, or if we are required or permitted by law to retain certain information for legal, security, or operational purposes.

If the laws of your jurisdiction permit, you may authorize another person to submit a request on your behalf. In such cases, we may require documentation confirming the individual’s authority and may also request additional information necessary to verify your identity.

9. Additional Information for California Residents

If you are a California resident, you have certain rights regarding your personal information under the CCPA. You also have the right to designate an agent to exercise these rights on your behalf. This section supplements the information in this Privacy Policy and applies solely to California residents.
